1. ACCEPTANCE OF TERMS

By accessing or using WebEgg (the "Service"), creating a website preview, or subscribing to a paid plan, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will notify you of material changes by email when possible.

2. DESCRIPTION OF SERVICE

WebEgg is an AI-powered website builder that generates, hosts, and helps you edit a professional website for your business. The Service includes:

AI-generated website creation from a brief you provide
Website hosting on Cloudflare's global network
An AI-powered editor to modify your website
Domain registration or connection (paid plans)
Contact form submission collection and forwarding
Basic analytics (page view counts)

3. FREE PREVIEW & PAID PLANS

Free Preview: You may generate a free website preview without creating an account. Free previews are hosted on a temporary URL and may be removed after 30 days of inactivity. You receive up to 3 free credits per site during the preview period.

Paid Plans: To publish your site to a custom domain, retain your website beyond the preview period, and access additional editing credits, you must subscribe to a paid plan. AI edits consume credits proportional to the size of the change; a single complex edit may use multiple credits.

Growth Plan ($29 setup, then $15/mo): Up to 5 websites, 750 credits/month, custom domain, watermark removed
Business Plan ($59 setup, then $25/mo): Up to 10 websites, 2,000 credits/month, team collaboration, API access, accept payments via Stripe, priority support

Plan pricing is subject to change with 30 days' notice to subscribers.

4. BILLING, AUTO-RENEWAL & CANCELLATION (Auto-Renewal Disclosure)

Recurring Charge Notice (required for California, FTC ROSCA, and most state ARL laws):

Your subscription automatically renews every month at the same plan price until you cancel.
You will be charged $15/mo (Growth) or $25/mo (Business) plus applicable taxes, in advance, to the payment method you provided at checkout.
You can cancel at any time with no fee from your dashboard (Account → Cancel Subscription) or by emailing support@webegg.ai. Cancellation takes effect at the end of your current billing period — no further charges.
If we change the price, we will email you at least 30 days before the change with the new price and your right to cancel before being charged.

Paid plans are billed monthly. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

Setup fee: A one-time setup fee ($29 Growth / $59 Business) is charged at sign-up, which includes domain registration for the first year.
Monthly billing: Subscription charges renew automatically on your billing date.
Failed payments: If a payment fails, we will retry up to 4 times over 7 days. Your account may be downgraded or suspended after that.
Refunds: Setup fees are non-refundable. Monthly subscription fees paid are non-refundable for the current billing period. We do not pro-rate refunds.

5. CANCELLATION & TERMINATION

You may cancel your subscription at any time from your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period — you retain access until then.

Upon cancellation, your site will be suspended (hidden). We retain your data for 30 days, after which it may be permanently deleted. You may export your site's HTML at any time before cancellation.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

6. DOMAIN POLICY

Domains registered through WebEgg are registered via our registrar partner (Porkbun) on your behalf. Domain registration is subject to availability and registrar policies.

We cover the cost of domain registration for the first year on paid plans.
Domain renewals after the first year are your responsibility and may incur additional charges.
We are not responsible for domain expiration if you cancel your plan or fail to arrange renewal.
Domains remain registered in your name. Upon request, we can transfer management to you directly.

7. AI-GENERATED CONTENT

      Important: Your website is generated by AI based on information you provide. You are responsible for reviewing all generated content before publishing.
    

We make no warranty that AI-generated content is accurate, complete, legally compliant for your industry, or free of errors. You must review and edit all content to ensure it is truthful and appropriate for your business.

You own the content of your generated website. By using the Service, you grant us a limited license to host, display, and serve your website to visitors.

8. ACCEPTABLE USE

You agree not to use the Service to create websites that:

Promote illegal activities, violence, or hate speech
Infringe on third-party intellectual property rights
Are misleading, fraudulent, or deceptive
Distribute malware or phishing content
Violate any applicable laws or regulations

We may remove content or suspend accounts that violate these guidelines at our sole discretion.

9. CONTACT FORM SUBMISSIONS

WebEgg provides contact form functionality that collects visitor inquiries on your behalf. You agree to handle submissions in accordance with applicable privacy laws (including CAN-SPAM, GDPR if applicable, and CASL if you serve Canadian visitors).

You are responsible for any communications you send in response to submissions. WebEgg is not a party to those communications.

10. USER-UPLOADED CONTENT & INTELLECTUAL PROPERTY

You may upload images (logos, photos) and provide text content to WebEgg for inclusion on your generated website. By uploading, you represent and warrant that:

You own the content or have all necessary rights to use, reproduce, and display it
The content does not infringe any third party's copyright, trademark, right of publicity, or other intellectual property right
The content does not contain defamatory, obscene, or unlawful material

You retain ownership of content you upload. You grant WebEgg a non-exclusive, worldwide, royalty-free license to host, copy, modify (for technical purposes like resizing), and serve the content as part of operating the Service.

You are solely responsible for the content of your website, including any AI-generated text. We do not pre-screen content and disclaim liability for content you publish.

11. DMCA NOTICE & TAKEDOWN PROCEDURE

WebEgg respects copyright. We respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512).

To submit a DMCA takedown notice, send a written notice to our designated agent (below) containing:

A physical or electronic signature of the copyright owner or authorised agent
Identification of the copyrighted work claimed to have been infringed
The URL of the allegedly infringing material on a WebEgg-hosted site
Your name, address, phone, and email
A statement that you have a good-faith belief the use is not authorised by the copyright owner
A statement, under penalty of perjury, that the information is accurate and that you are authorised to act on behalf of the copyright owner

Repeat infringers: We will terminate accounts of users who are repeat infringers in appropriate circumstances.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Modern Media LLC and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to: loss of business, data loss, website downtime, domain expiration, or errors in AI-generated content.

Our total liability to you for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

13. DISCLAIMER OF WARRANTIES

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any particular website will rank in search engines or generate business leads.

14. GOVERNING LAW

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.
